CHAPTER R1

REGISTRATION OF CONTRACTORS LAW

A Law to practice for the registration of individuals, partnerships or limited companies as contractors with authority to tender for Cross River State Government contracts in divers categories of works.

(1st April, 1976)

[Commencement.]

PART 1

Registration of Contractors by Central Board

  1. Establishment and functions of State Central Registration Board

(1)     There is hereby established a central board to be known as State Contractors Registration Board (hereinafter in this Law referred to as “Central Board”), and it shall be the duty of the Central Board to—

(a)     register persons as contractors in a central register at its offices for the purpose; and

(b)     cancel the registration of contractors.

(2)     The offices of the Central Board shall be situated in the Capital of the State.

  1. Constitution of Central Board and other matters relative to members

(1)     The Central Board consists of the following members—

(a)     a part-time Chairman, who shall not be situated in the Capital of the State;

(b)     five members also not being persons in the public service of the State;

(c)     the Permanent Secretary of the Ministry;

(d)     the Head of the Building Division in the Ministry;

(e)     the Chairman of the Board of Internal Revenue.

(2)     A member not being a person in the public service of the State may, by one month’s notice in writing addressed to the Ministry, resign his office.

(3)     The remuneration of a member who is not a person in the public service of the State shall be in accordance with existing rates and regulations.

(4)     A member shall not be personally liable for an act of the Central Board done or omitted to be done in good faith in the course of its operation.

  1. Meetings of the Central Board

(1)     The Central Board shall meet at least twice yearly.

(2)     At a meeting of the Central Board, four members shall form the quorum.

(3)     Where upon special occasion the Central Board desires to obtain the advice of a public officer upon any matter, the Central Board shall co-opt the public officer to be a member for such meeting or meetings as it may require, and the public officer, while so co-opted, shall have all the rights and privileges of a member save that he shall not be entitled to vote upon any question or count in the determination of the quorum.

(4)     At a meeting of the Central Board the Chairman, or, in his absence, any other member selected by the members for the purpose shall preside.

(5)     Every matter which comes before the Central Board at a meeting shall, in accordance with section 53 of the Interpretation Law, be decided by a majority of the votes of the members present and voting; and in the event of an equality of votes the person presiding at the meeting shall have a second or casting vote.

The Board Secretary

(1)     There shall be a secretary to the Central Board who shall be a public officer designated in that behalf by the Permanent Secretary of the Ministry (hereinafter in this Law referred to as “the Board Secretary”).

(2)     The Board Secretary shall—

(a)     maintain the central register of all contractors in two parts, that is to say—

(i)      Part 1 of the Central Register, which shall contain the names and particulars of major contractors; and

(ii)     Part 2 of the Central Register, which shall contain the names and particulars of local contractors;

(b)    keep a record of the proceedings of meetings of the Central Board; and

(c)     carry out instructions of the Central Board.

  1. Application to Board Secretary for Registration as a major contractor

(1)     An application for registration as a contractor in any of the categories of works set out in Part 2 of Schedule 2 shall be an application for registration as a major contractor and shall be made to the Central Board in an application form obtained during Government office hours from the Board Secretary.

(2)     The application form referred to in subsection (1) shall be in the form in Schedule 1 and shall be delivered to an applicant on his production of a Government Treasury Receipt for the payment of the application fee prescribed in Schedule 2.

(3)     A person applying to the Central Board to be registered as a major contractor shall indicate in the application form the category or categories of works in which he desires to be registered.

(4)     The completed application form shall be forwarded or delivered to the Board Secretary in a confidential cover accompanied by the Government Treasury Receipt for the payment of the application fee referred to in subsection (2).

(5)     An application fee paid by an applicant pursuant to this section shall not be refundable.

  1. Categories of works

Applicants may be registered in not more than two categories of works set out in Schedule 2:

Provided that registration of contractors in the Central Register in any of the categories of works set out in Part 1 of Schedule 2 shall be in accordance with the provisions of section 21 of this Law.

  1. Registration of major contractors

(1)     The Board Secretary shall present to the Central Board at its next meeting all applications received by him for registration as major contractors.

(2)     The Central Board shall consider whether or not to register an applicant as a major contractor, and if it decides to register the applicant, in what category or two categories to register such applicant.

(3)     As soon as practicable after the Central Board has decided to register an applicant as a major contractor, the Board Secretary shall notify the applicant of the Central Board’s decision and the registration fee or fees payable.

(4)     On receipt by the Board Secretary of a Government Treasury Receipt for the payment by the applicant of the registration fee or fees, the Board Secretary shall register the applicant as a major contractor in accordance with the decision of the Central Board.

  1. Re-registration of major contractors

(1)     Where—

(a)     a major contractor desires re-registration in a category or not more than two categories of works other than that or those in which he is registered; or

(b)     the registration of a person as a major contractor has become void or is cancelled under a provision of this Law and he desires to be re-registered as a major contractor, he shall apply for re-registration.

(2)     The procedure for obtaining re-registration shall be identical with the procedure for obtaining registration as set out in sections 5 and 7.

  1. Cancellation of registration of major contractors

(1)     The Central Board shall cancel the registration of a major contractor if, as a result of facts found at its meeting, the Central Board decides to do so on grounds of inefficiency of the major contractor or of the major contractor’s failure to comply with the terms of the major contractor’s contract.

(2)     On cancellation of registration of a major contractor, the Board Secretary shall forthwith inform the major contractor of the cancellation of the registration made by the Central Board.

(3)     Where a major contractor is expelled from site the major contractor’s registration shall be automatically cancelled, and the major contractor shall be disqualified for two years for re-registration as a major contractor.

(4)     An appeal by an aggrieved person against the decision of the Central Board referred to in subsection (1) shall lie to the Commissioner whose decision shall be final.

(5)     The Permanent Secretary of the Ministry shall, on being requested by the Board Secretary, supply him with a list of names of former major contractors expelled from site during a period stated by the Board Secretary.

(6)     The Board Secretary shall, as soon as practicable after being supplied with the list mentioned in subsection (5) inform the Central Board thereof and make necessary entries in the Central Register.

  1. Definition in this Part of this Law

In this Part of this Law, “contractor” means an individual, a partnership or a company before the commencement of this Law registered under any legislation as a contractor or a petty contractor.

  1. Revision of Central Register

The Central Board may from time to time and shall at the end of every financial year revise the Central Register, and strike out the name of a major contractor who has not submitted a reasonable tender for three consecutive years.

PART 2

Registration of Contractors by Local Board

  1. Establishment and functions of Local Boards

(1)     There is hereby established in each local government area of the State a Local Board to be known as the Local Contractors Registration Board (hereinafter in this Law referred to as “the Local Board”) and it shall be the duty of a Local Board to—

(a)     register persons who ordinarily reside within the local government area as local contractors in a Local Register kept at its offices for the purpose; and

(b)     cancel the registration of local contractors.

(2)     The offices of the Local Board shall be situated at the Headquarters of the local government on such premises as the Local Government Secretary shall appoint.

  1. Constitution of Local Boards

(1)     The Local Board shall consist of the following members—

(a)     the Local Government Secretary;

(b)     the Works Officer in charge of public works within the Division;

(c)     six other persons (not being persons in the public service) appointed by and holding office at the pleasure of the Ministry, one of whom shall be the Chairman;

(d)     the Tax Assessment Authority.

(2)     A member who is not a public officer may, by one month’s notice in writing to the Ministry, resign his office.

(3)     The remuneration of a member who is not in the public service shall be in accordance with existing rates and regulations.

(4)     A member shall not be personally liable for an act of the Local Board done or omitted to be done in good faith in the course of its operation.

  1. Meetings of Local Board

(1)     The Local Board shall meet at lest twice yearly.

(2)     At a meeting of the Local Board three members, of whom the Chairman, the Local Government Secretary, the Works Officer in the local government area shall be one, shall form the quorum.

(3)     Where upon a special occasion the Local Board desires to obtain the advice of a public officer upon a matter, the Local Board shall co-opt the public officer to be a member for such meeting or meetings as it may require and the public officer, while so co-opted, shall have all the rights and privileges of a member save that he shall not be entitled to vote upon any question nor count in the determination of the quorum.

(4)     At a meeting of the Local Board the Chairman, or, in his absence, the Local Government Secretary or Works Officer in the Division, shall preside.

(5)     Every matter which comes before the Local Board at a meeting shall be decided by a majority of votes of the members present and voting.

(6)     In the event of an equality of votes the person presiding at the meeting shall, in accordance with section 53 of the Interpretation Law, have a second or casting vote.

  1. Secretary to the Local Board

(1)     There shall be a Secretary to the Local Board who shall be a senior public officer within the local government area designated in that behalf by the Local Government Secretary (hereinafter in this Law, referred to as “the Local Board Secretary”).

(2)     The Local Board Secretary shall—

(a)     maintain a Local Register of local contractors;

(b)     make returns of the names of local contractors standing in the Local Register to the Board Secretary for inclusion in the Central Register;

(c)     keep a record of the proceedings of meetings of the Local Board; and

(d)     carry out instructions of the Local Board.

  1. Application to Local Board

(1)     An application to the Local Board for registration as a local contractor shall be made in the form in Schedule 3, which shall be obtained on request and during Government office hours from the Local Board Secretary.

(2)     A person applying to the Local Board to be registered as a local contractor shall indicate in the application form only one category of works in which he desires to be registered.

(3)     The competed application form shall be sent to the Local Board Secretary under confidential cover only accompanied by a Government Treasury Receipt for the payment of the application fee prescribed in Schedule 2.

(4)     The application fee paid by the applicant under this section shall not be refundable.

  1. Categories of Local Board

Applicants may be registered in only one of the categories of works set out in Part 1 of Schedule 2.

  1. Registration of local contractors

(1)     Application for registration as local contractors received by the Local Board Secretary shall be presented by him to the Board at its meeting next following such receipt.

(2)     The Local Board shall consider whether or not to register an applicant as a local contractor.

(3)     As soon as practicable after the Local Board has decided to register an applicant as a local contractor, the Local Board Secretary shall notify the applicant of the Local Board’s decision and of the registration fee payable.

(4)     On receipt by the Local Board Secretary of a Government Treasury receipt for the payment by the applicant of the registration fee, the Local Board Secretary shall register the applicant as a local contractor in accordance with the decision of the Local Board.

  1. Re-registration of local contractors

(1)     Where—

(a)     a local contractor desires re-registration in a category of works higher than that in which he is registered; or

(b)     the registration of a person as a local contractor has become void or is cancelled under a provision of this Law and the person desires to be registered as a local contractor, he shall apply for re-registration.

(2)     The procedure for obtaining re-registration in the circumstances mentioned in subsection (1) shall be identical with the procedure for obtaining registration as set out in sections 16 and 18.

(3)     Where a local contractor desires re-registration in a category of works lower than that in which he is registered he shall, after repayment into the Government Treasury of the fee for registration, and on sending to the Local Board a written application for re-registration with which the Treasury receipt for the repayment made is enclosed, be re-registered and the Local Board shall register him by entering his name and address in the Local Register for the lower category of works.

(4)     Where a local contractor is re-registered pursuant to paragraph (a) of subsection (1) or to subsection (3) the former registration in the Local Register shall be cancelled.

(5)     Whenever a new Local Board is constituted as a result of the creation of a new local government area, there shall be a free transfer of registration of all local contractors who ordinarily reside within the area of the new local government area to the Local Register of the new Local Board, and the Local Board Secretary of the new Local Board shall forthwith notify each of the local contractors of the re-registration and the particulars thereof.

(6)     No application for re-registration in a higher grade shall be made by a local contractor within eighteen months of his being registered as a local contractor or his previous re-registration in the present grade.

  1. Cancellation of registration of local contractors

(1)     The Local Board shall cancel the registration of a local contractor if, as a result of facts found at its meeting the Local Board decides to do so on grounds of inefficiency of the local contractor or of the contractor’s failure to comply with the terms of the contract.

(2)     On the cancellation of registration of a local contractor the Local Board Secretary shall forthwith inform such contractor of the cancellation of the registration made by the Local Board.

(3)     An appeal by an aggrieved local contractor against the decision of the Local Board referred to in subsection (1) shall lie to the Commissioner whose decision shall be final.

  1. Returns of local contractors to the Board

(1)     The Local Board Secretary shall, at least twice yearly, prepare and forward to the Board Secretary to reach him not later than seven days before the next meeting of the Central Board returns of local contractors in the Local Register.

(2)     Whenever he shall deem it necessary so to do, the Chairman of the Central Board may at any time in writing direct the Board Secretary to call for returns from any or all of the Local Boards, and the Board Secretary shall do so.

(3)     Every Local Board Secretary to whom a request for returns shall be made by the Board Secretary shall within seven days furnish the Board Secretary with the returns.

(4)     Upon the receipt by the Board Secretary of returns, the Board Secretary shall—

(a)     lay them before the Central Board at its meeting; and thereafter;

(b)     enter the names and particulars of local contractors therein in Part 2 of the Central Register;

(c)     where necessary readjust Part 2 of the Central Register by therein cancelling the names of local contractors which are not included in the returns.

(5)     Within three months of the commencement of this Law every Local Board Secretary shall prepare and forward return to the Board Secretary.

  1. All previous re-registrations of petty contractors void

All registrations of contractors heretofore described as petty contractors made prior to the coming into force of this Law are hereby declared void.

  1. Revision of Local Register

The Local Board shall from time to time revise the Local Register and shall strike out the name of a local contractor who has failed to execute his contracts satisfactorily.

PART 3

General

  1. Registration to be annual

Every registration as a contractor shall be for a period of one year and shall expire on the 31st day of March or as the case may be next after the issue thereof; subject to the provisions of this Law a contractor may be registered in respect of further successive years.

  1. Contractors to be issued with originals of certificates of registration

(1)     Upon the registration of a contractor the Board Secretary, or, as the case may be, the Local Board Secretary, shall issue and deliver, to the contractor the original copy of the appropriate certificate of registration as a contractor.

(2)     The certificate of registration as a major contractor shall be numbered serially and shall be made out in duplicate in the form in Schedule 4 under the hand of the Chairman of the Central Board.

(3)     The Central Board shall, from time to time, supply to every Local Board such quantity of the certificate of registration as a local contractor as the Central Board may deem necessary.

(4)     The certificate of registration as a local contractor shall be numbered serially and shall be made out in triplicate in the form in Schedule 5 under the hand of the Chairman of the Central Board.

(5)     The Central Board shall retain the duplicate copy of every certificate of registration of a major contractor, and the Local Board shall retain the triplicate copy and dispatch to the Central Board the duplicate copy of every certificate of registration as a local contractor.

  1. Duplicate and triplicate copies of certificates of registration to be sufficient evidence in legal proceedings to resolve doubt

In any legal proceedings wherein the existence, validity or genuineness of or of any entry in a certificate of registration as a contractor is in question, the production from the custody of the Central Board of the corresponding duplicate or triplicate copies or from the custody of the Local Board of the corresponding triplicate copy of the certificate of registration under consideration may be taken as sufficient evidence for the purpose of resolving the question:

Provided that the court shall have the power, in its discretion, to direct that any officer of the Central Board or the Local Board, as the case may be, be summoned to give evidence, if it is of the opinion that the interest of justice so requires.

  1. Restriction of registration

(1)     No major contractor shall apply for registration as a local contractor under Part 2.

(2)     No local contractor shall apply for registration as a major contractor under Part 1.

  1. Freedom of contractors to tender for works anywhere

Notwithstanding the administrative divisional origin of a contractor, a contractor may tender for the execution of works anywhere within the State during the year in respect of which he is registered.

  1. Matter relative to electrical and plumbing works

(1)     A contractor who desires to tender for electrical works shall previously satisfy all the requirements of the National Electric Power Authority.

(2)     A contractor who desires to tender for plumbing works or pipe laying shall, in respect of his technical competence, satisfy the Central Board or, as the case may be, the Local Board, which shall call for his Trade Test Certificate.

  1. Matter relative to limited liability companies and partnerships

(1)     A limited liability company applying for registration shall produce to the Central Board its certificate of incorporation under the Company and Allied Matters Act.

(2)     A partnership applying for registration shall produce evidence of its registration as a partnership.

(3)     A person who is a partner in a partnership that is registered as a contractor shall not also be registered as a contractor.

  1. Notification of Central Board meetings

For the purposes of section 21 of this Law, the Board Secretary shall give to every Local Board sufficient notice in writing of a meeting of the Central Board.

  1. Annual publication of list of contractors in the Gazette

In March or as the case may be of every year the Commissioner shall cause to be published in the State Gazette under the separate headings of “Major Contractors” and “Local Contractors” a full list of the names of all contractors then standing in the Central Register.

PART 4

Miscellaneous

  1. Interpretation

In this Law, unless the context otherwise requires—

“Board Secretary” means the Secretary to the State Contractors Registration Board;

“category” means a division of works of whatever kind or nature according to their value;

“Central Board” means the State Contractors Registration Board;

“Central Register” means the register or registers kept by the Central Board for the registration of contractors under this Law;

“Commissioner” means the State Commissioner for the time being charged with responsibility for public works;

“Contractor” means an individual, a partnership or a company registered under this Law whether as a major contractor or as a local contractor;

“expel from site” means terminate a contract while it is being executed on account of inefficiency of the major contractor;

“Local Board” means a Local Contractors Registration Board;

“Local Board Secretary” means the Secretary to a Local Contractors Registration Board;

“Local Contractor” means an individual, a partnership or a company registered under this Law as a contractor in respect of a category or categories of works in Part 2 of Schedule 2;

“Ministry” means Ministry charged with responsibility for works;

“Permanent Secretary of the Ministry” means the Permanent Secretary of the Ministry charged with responsibility for works;

“public service” means the public service of the State;

“returns” means written lists of the names of Local contractors in a Local Register;

“State” means the Cross River State.

  1. Short title

This Law may be cited as the Registration of Contractors Law.
